Register of the non-profit legal entities at the Registry Agency

 

          On 08.09.2016, the National Assembly adopted on second reading the Act for Amendment and Supplement to the Law on Non-Profit Legal Entities, which was promulgated on 20.09.2016. The Act provides a number of amendments, the most important of which is the transfer of the register of the non-profit legal entities from the district courts to the Registry Agency. The adopted amendments shall enter into force on 01.01.2018. Registration proceedings initiated before the entry into force of this Act are settled by the court under the current procedure.

          All existing at the date of entry into force of this Act non-profit legal entities and branches of foreign non-profit legal entities retain their legal capacity of legal entities, respectively of branches and their status in private or public benefit. The non-profit legal entities entered in the register of the non-profit legal entities at the district courts are obliged to submit an application for re-registration under this Act within 31 December 2020. 

          The circumstances and the acts which are subject to entry shall be applied for entry, respectively for announcement in the register of the non-profit legal entities, kept by the Registry Agency to the Ministry of Justice within a month from the date of their occurrence, respectively of their change. The acts of the Registry Agency shall be appealed before the district court by domicile of the respective non-profit legal entity.

          The invitation for convening of general meeting, the annual report for the activity and the financial statement of the non-profit legal entity pursuing activities for public benefit shall be announced in the register of the non-profit legal entities. The annual report for the activity and the annual financial statement shall be stated for announcement in the register until 30 June of the year following the year to which they refer.

          The Act provides for temporary suspension of the status in public benefit. "Temporarily suspended status in public benefit" shall be entered ex officio on the lot of the non-profit legal entity pursuing activities for public benefit when in two consecutive years it does not state for announcement on time an annual report for the activity and a financial statement.

          The Act provides state support and encouragement of non-profit legal entities established to carry out activities for public benefit through tax and other financial and economic relief as well as financing under conditions and procedures specified in the relevant special laws and in compliance with the rules on state aid. A Council for Civil Society Development to the Council of Ministers is created for development and implementation of policies supporting the development of civil society.
